Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between BZBoard LLC ("BZBoard," "we," "us," or "our") and the person or entity accessing or using the Service ("Customer," "you," or "your"). By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and "you" includes that organization.

1. The Service

BZBoard is a cloud-based diagnostic and service management platform for electrical service professionals. Features may include customer and issue tracking, structured diagnostic workflows, AI-assisted troubleshooting, contact logging, calculators, reports, and multi-user access with role-based permissions. Features may vary by plan and may change over time.

We may modify, improve, suspend, or discontinue portions of the Service from time to time. If we make a material adverse change to paid core functionality, we will provide reasonable advance notice where practicable.

2. Eligibility and Accounts

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. You must provide accurate, current, and complete account information and keep it updated.

You are responsible for safeguarding your account credentials and for all activities that occur under your account, including the actions of your employees, contractors, and other authorized users. You must promptly notify us of any suspected unauthorized access or security incident involving your account.

Each account is associated with a single organization unless otherwise agreed in writing. The account owner is responsible for managing user roles and permissions.

3. Free Trial and Subscription Plans

BZBoard may offer a free thirty (30) day trial for new accounts. Unless otherwise stated, no credit card is required to start the free trial. Trial eligibility is determined by BZBoard and may be limited by account, organization, email domain, prior sign-up history, or other factors.

During the trial period, users may access certain features of the Service at no charge, subject to any usage limits or feature restrictions communicated by BZBoard.

At the end of the free trial, the account will not automatically convert to a paid subscription and no charges will be applied unless the user affirmatively selects a paid plan and provides valid payment information. If the user does not subscribe at the end of the trial, the account may become fully inactive and access to the Service may be suspended until a paid subscription is activated.

BZBoard may modify or discontinue trial offers at any time, but changes will not retroactively affect an active trial already started.

4. Billing and Payment

Paid subscriptions renew automatically on a recurring monthly basis unless canceled before the next renewal date.

You authorize BZBoard and its payment processor to charge your selected payment method for all subscription fees, taxes, and other amounts due in connection with your account. All amounts are stated in U.S. dollars unless otherwise specified. You are responsible for any applicable taxes, duties, or similar governmental assessments, excluding taxes based on BZBoard's net income.

If a payment fails, we may retry the charge, suspend access to paid features, downgrade your account, or terminate the account if payment remains overdue.

We may change pricing upon advance notice. Any price change will apply beginning with the next billing cycle after the notice period.

5. Cancellation and Refunds

You may cancel your paid subscription at any time through your account settings or by contacting support. Unless otherwise stated in a separate written agreement, cancellation takes effect at the end of the current billing period.

Fees already paid are non-refundable except as required by law. No prorated refunds or credits will be issued for partial billing periods, unused time, downgrades, or unused features. Any discretionary refund or credit issued by BZBoard in one instance does not create an obligation to issue refunds or credits in the future.

If BZBoard discontinues a paid subscription service before the end of a prepaid billing period for reasons unrelated to your breach of these Terms, BZBoard will provide a prorated refund for the unused portion of the prepaid period.

6. Customer Data

As between the parties, you retain all right, title, and interest in and to the data, records, files, prompts, communications, and other materials submitted to or stored in the Service by you or your authorized users ("Customer Data").

You grant BZBoard a non-exclusive, worldwide, limited license to host, store, reproduce, transmit, process, format, display, and make limited modifications to Customer Data solely as necessary to provide, secure, maintain, support, troubleshoot, and improve the operation of the Service, to comply with applicable law, and to enforce these Terms.

BZBoard will not use Customer Data to train foundation models or general-purpose artificial intelligence systems.

BZBoard may use Customer Data to generate outputs requested by you through Service features, including AI-assisted features, and may use de-identified and aggregated data that does not reasonably identify you, your organization, or your customers for analytics, security, and service improvement.

You represent and warrant that you have all rights, consents, and permissions necessary to provide Customer Data to BZBoard and to permit its processing under these Terms.

7. Acceptable Use

You may use the Service only in compliance with these Terms and applicable law. You may not:

  • use the Service for unlawful, fraudulent, or unauthorized purposes;
  • reverse engineer, decompile, disassemble, or attempt to derive source code from the Service except to the extent such restriction is prohibited by law;
  • share credentials outside your organization or circumvent role-based access controls;
  • probe, scan, or test the vulnerability of the Service without authorization;
  • scrape, crawl, or extract data using automated means except through approved interfaces;
  • upload malware, malicious code, or content that infringes the rights of others;
  • interfere with or disrupt the integrity, security, or performance of the Service;
  • use the Service for emergency, life-safety-critical, or high-risk decisions without independent professional verification.

We may suspend or restrict access if we reasonably believe you have violated this Section.

8. AI Features and Professional Judgment

Certain features may generate outputs using artificial intelligence or machine learning systems. AI-generated outputs may be incomplete, inaccurate, outdated, biased, or inappropriate for a given situation.

AI-generated responses, recommendations, calculations, summaries, and other outputs are provided for informational assistance only. They are not a substitute for professional judgment, training, code compliance review, safety procedures, independent diagnosis, or legal, engineering, or other professional advice.

You are solely responsible for reviewing and validating any AI-generated output before relying on it in connection with troubleshooting, customer communications, repairs, installations, code interpretation, safety-related decisions, or other professional work.

9. Intellectual Property

The Service, including the software, user interface, branding, documentation, workflows, structured diagnostic content, and all related intellectual property rights, is owned by BZBoard or its licensors.

Subject to your compliance with these Terms, BZBoard grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service during the applicable subscription term for your internal business purposes.

Except as expressly permitted in these Terms, you may not copy, distribute, modify, create derivative works from, publicly display, publicly perform, or otherwise exploit the Service or its content.

10. Disclaimer of Warranties

To the maximum extent permitted by law, the Service and all related content, outputs, and materials are provided "as is" and "as available."

BZBoard disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, or that the Service will be uninterrupted, error-free, secure, or free of harmful components.

BZBoard does not warrant that the Service or any output will satisfy your requirements or that any defects will be corrected.

11. Limitation of Liability

To the maximum extent permitted by law, BZBoard will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or business interruption, arising out of or related to the Service or these Terms, even if advised of the possibility of such damages.

To the maximum extent permitted by law, BZBoard's aggregate liability arising out of or related to the Service or these Terms will not exceed the greater of: (a) the total amounts paid by you to BZBoard for the Service during the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred U.S. dollars (US $100).

Nothing in these Terms excludes or limits liability to the extent such liability cannot be excluded or limited under applicable law.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of this Section may not apply to you.

12. Indemnification

You will defend, indemnify, and hold harmless BZBoard and its affiliates, officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • (a) your use of the Service in violation of these Terms or applicable law;
  • (b) Customer Data;
  • (c) your infringement or misappropriation of any third-party rights; or
  • (d) your services, work product, repairs, installations, recommendations, or decisions made in reliance on the Service or any output.

13. Suspension and Termination

We may suspend or terminate your access immediately if:

  • you materially breach these Terms;
  • your use poses a security, legal, or operational risk;
  • payment remains overdue; or
  • we are required to do so by law.

We may also discontinue or sunset the Service, or a material portion of it, for business reasons upon reasonable prior notice. If we discontinue a paid subscription service before the end of a prepaid billing period for reasons unrelated to your breach, we will provide a prorated refund for the unused portion of the prepaid period.

You may stop using the Service at any time and may cancel your subscription as described above.

Upon cancellation or termination, your right to use the Service ends. We may retain Customer Data for up to ninety (90) days after cancellation or termination to allow export, account recovery, backup restoration, compliance, dispute resolution, and other legitimate business operations, unless a shorter or longer period is required by law or a separate written agreement. After that period, we will delete or de-identify Customer Data in accordance with our Privacy Policy, except for data we must retain by law or for legitimate recordkeeping purposes.

Sections that by their nature should survive termination will survive, including those relating to fees owed, intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and general provisions.

14. Changes to the Service or Terms

We may update the Service and these Terms from time to time. If we make material changes to these Terms, we will provide notice by email, through the Service, or by another reasonable method. Unless otherwise stated, material changes will become effective no earlier than thirty (30) days after notice.

Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service before the changes take effect.

15. Dispute Resolution; Arbitration; Class Action Waiver

Please read this Section carefully. It affects your legal rights.

Informal Resolution First

Before initiating arbitration, either party will provide written notice of the dispute to the other and attempt in good faith to resolve the matter informally for at least thirty (30) days.

Binding Arbitration

Except for disputes that qualify for small claims court and disputes seeking injunctive or equitable relief for actual or threatened misuse of intellectual property, confidential information, or security-related rights, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration.

The arbitration will be administered by the American Arbitration Association ("AAA") under its applicable commercial arbitration rules. The arbitration will take place in Los Angeles County, California, unless the parties agree otherwise. Judgment on the award may be entered in any court having jurisdiction.

Class Action Waiver

To the maximum extent permitted by law, each party agrees that any dispute will be resolved only on an individual basis and not as a plaintiff or class member in any purported class, consolidated, collective, or representative action or proceeding.

Jury Trial Waiver

To the maximum extent permitted by law, each party waives any right to a jury trial for any claim permitted to proceed in court.

Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

16. General Provisions

Force Majeure. BZBoard is not liable for delay or failure to perform caused by events beyond its reasonable control, including acts of God, natural disasters, labor disputes, internet or utility failures, war, terrorism, civil unrest, governmental actions, or service provider outages.

Assignment. You may not assign or transfer these Terms without BZBoard's prior written consent. BZBoard may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.

Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.

Waiver. A failure to enforce any provision is not a waiver of that provision or any other provision.

Entire Agreement. These Terms, together with the Privacy Policy and any applicable order form or written subscription agreement, constitute the entire agreement between you and BZBoard regarding the Service and supersede prior or contemporaneous understandings on that subject.

Data Processing Addendum. If the parties enter into a separate Data Processing Addendum, that addendum will govern to the extent of any conflict with these Terms with respect to the processing of personal information covered by that addendum.
